Copyright Assignment Offer · Draft
for the assignment of exclusive economic copyright in works published on IDEAWA
Version 1.0 • October 21, 2026 • Draft subject to legal review before publication
IDEAWA GROUP, TOO, a limited liability partnership established in the Republic of Kazakhstan, Business Identification Number (BIN 260540016501), registered address: IDEAWA GROUP, TOO, 49 mkr. Mamyr-4 Almaty - Kazakhstan (KZ) (the “Company”), hereby makes this public offer (the “Offer”) to adult users of the IDEAWA application and website who create and publish their own original works (the “Authors”).
This Offer sets out the terms for entering into an agreement with an Author for the assignment of exclusive economic copyright in specific existing works, individually identified upon publication. The procedures for electronic acceptance and recording the specific works are set out below.
1. Definitions and Scope
1.1. “Platform” means the IDEAWA application, the ideawa.com website and related services operated by the Company.
1.2. “Author Content” means an original copyrighted work owned by an Author and published through the IDEAWA author-content creation interface, including text, original photographs, illustrations, original descriptions, curated collections, original arrangements of routes or plans, and other copyright-protected elements.
1.3. “Publication” means the completed action of an Author in the Platform interface whereby specific, existing Author Content is assigned a publication identifier and saved in the system for display. Drafts that have not been submitted for publication are not subject to assignment.
1.4. Private messages, requests to the AI assistant, non-public notes, personal data, likes, and ordinary comments or reviews posted outside the designated author-content rights-assignment interface are not covered by this Offer and are governed by IDEAWA’s Terms of Use and Privacy Policy. Facts, addresses and dates, as such, are not transferred as copyright-protected subject matter.
2. Acceptance of the Public Offer
2.1. Full and unconditional acceptance of this Offer upon the first publication of Author Content requires all of the following: (a) the Author is given access to the full text of this Offer; (b) the Author actively checks a mandatory consent box that is not preselected; and (c) the Author clicks “Publish,” thereby confirming the assignment of rights in the specific existing Author Content identified in that Publication.
2.2. Upon acceptance, the Author agrees to the terms of this Offer with respect to the first Publication, as identified by its unique identifier. The initial consent checkbox, by itself, does not assign rights in works that have not yet been created.
2.3. For each subsequent Publication, an Author who has accepted the then-current version of the Offer takes a separate “Publish” action in an interface displaying a brief notice that exclusive rights in that specific submitted work are being assigned. This action expresses separate consent to apply the Offer to that existing work. A new checkbox is not required for every Publication if applicable law permits this procedure and the current version has not been materially amended.
2.4. If material terms of the Offer change, including the scope of rights or the absence of remuneration, the Company will request new express consent before the next Publication. An unchecked box, silence, account registration or merely reading the text does not constitute acceptance.
2.5. Acceptance is effective only to the extent that the electronic execution method chosen by the Company satisfies applicable legal requirements for written form and the signatures of the parties.
3. Subject Matter and Identification of Works
3.1. The Author assigns to the Company, without remuneration, the exclusive economic copyright owned by the Author in each specific item of Author Content for which valid acceptance has been completed under Section 2. The Company accepts the assigned rights.
3.2. Each work is identified by the information recorded in the electronic publication register: the Author identifier, content identifier, type and title, components of the work (including files and individual photographs), date and time, Offer version, and a technical content-verification identifier. The register must allow the content of the work to be established as it existed at the time of assignment.
3.3. This Offer does not automatically cover works that the Author will create in the future. Assignment of each new work is completed upon a separate Publication and only to the extent permitted by applicable law.
3.4. If a Publication incorporates third-party works, only rights actually owned by the Author are assigned. Exclusive rights in third-party materials, licensed components, map elements and third-party photographs do not transfer to the Company without a separate lawful basis.
4. Scope of Exclusive Rights Assigned
4.1. To the extent of the rights held by the Author, the Company acquires the exclusive right to use the work by the following methods known as of the date of the relevant Publication:
(a) reproduce, record, copy, store, digitize, and create electronic or other copies;
(b) upload, publish, distribute, make available to the public and publicly display the work in the application, on the internet, on social media and in advertising materials;
(c) translate, edit, abridge, supplement, adapt, modify, and incorporate the work into collections, plans, databases and other collective or derivative products, subject to the Author’s protected moral rights;
(d) use the work or any of its parts in the Company’s commercial, informational, marketing and other products and services;
(e) assign all or part of the acquired rights to third parties, grant licenses for use, and authorize or prohibit use to the extent of the transferred rights.
4.2. This Offer does not cover methods of exploiting a work that were unknown when the relevant agreement was concluded if applicable law excludes their assignment.
5. Territory, Duration and Remuneration
5.1. The assignment is intended to apply worldwide for the entire period during which the relevant exclusive economic copyright is protected under applicable law, without any separate contractual time limit.
5.2. The parties intend the assignment to be made without remuneration. Remuneration for each method of use listed in Section 4.1 is specified as KZT 0 (zero Kazakhstani tenge), and no contractual royalties are payable to the extent permitted by applicable law.
5.3. Payments to creators under separate referral, partnership or bonus programs are governed by their own terms and do not automatically constitute remuneration for the assignment of rights under this Offer.
5.4. Exclusive rights in each work transfer only after the required method of acceptance and legally required formalities for assignment have been completed. A technical “published” status does not replace mandatory signature requirements.
6. Author Representations and Warranties
6.1. The Author represents that they are an adult with legal capacity, own the work being assigned, and have the legal authority to dispose of the relevant exclusive rights.
6.2. The Author warrants that the assignment and the Company’s use of the work within the scope of this Offer do not infringe third-party rights, including those of co-authors, photographers, designers, persons depicted and owners of licensed materials.
6.3. Authors must not submit as their own materials copied from Google Maps, social networks, news media, booking services or other external sources unless they have the relevant rights or permissions. Merely identifying a source does not establish authorization.
6.4. The Author must notify the Company of any restrictions on or claims concerning the rights to a Publication. The parties’ liability is determined by applicable law; the Company may suspend display of disputed content and request proof of rights.
7. Account Deletion and User Publications
7.1. Assignment of economic copyright and retention of personal data are separate legal matters. The assignment does not entitle the Company to disregard mandatory legal or app-store requirements concerning the deletion of accounts, data and user publications.
7.2. Upon account deletion, IDEAWA deletes associated user publications and personal data as described in its published policies and as required by applicable laws and platform rules, subject to legally permitted exceptions.
7.3. Separate factual information about places and events that the Company independently collects or verifies may be retained, provided it is not user content that must be deleted and does not infringe third-party rights.
8. Electronic Execution and Preservation of Evidence
8.1. The Company makes the current version of the Offer available for review and saving before acceptance. The Author may obtain a copy. The Company records acceptance and Publication events in a verifiable, integrity-protected log.
9. Effective Period and Amendments
9.1. The Offer becomes effective when published by the Company and remains in effect until withdrawn or replaced with a new version. The Company may amend its terms prospectively, indicating the new version and its date.
9.2. An amendment to this Offer does not, by itself, expand rights already assigned in previously published works. A material expansion of rights requires new valid acceptance with respect to the specific materials.
9.3. A new version that has not been accepted does not automatically apply to earlier Publications. The applicable previous version is determined by the date and terms on which each assignment was completed.
10. Governing Law and Contact Information
10.1. This Offer is governed by the laws of the Republic of Kazakhstan to the extent permitted by mandatory rules governing the relevant relationships and copyright protection in other countries.
10.2. Disputes may be resolved through negotiations and before a competent court, subject to mandatory jurisdictional rules and the parties’ non-waivable rights.
10.3. Company contact for copyright matters: support@ideawa.com. Company details: IDEAWA GROUP, TOO; (BIN 260540016501); registered address IDEAWA GROUP, TOO, 49 mkr. Mamyr-4 Almaty - Kazakhstan (KZ).
